Terms of Use
Effective Date: 9/21/26
1. Acceptance
These Terms of Use ("Terms") govern access to and use of the Everon SFTP Portal (the "Portal"), a web file manager operated by Everon Technologies LLC ("Everon", "we", "us") for browsing, uploading, and downloading files in vendor data-exchange buckets. The Portal is an internal, invitation-only tool for Everon personnel and approved representatives of Everon's vendors and partners. By signing up for or using the Portal you agree to these Terms. If you do not agree, do not use the Portal.
2. Authorized Use Only
You may use the Portal only if your email address has been approved by an Everon administrator and only for the business purpose for which access was granted: exchanging eligibility, enrollment, billing, and related files between Everon and the vendor you represent. You must access only the buckets and folders you have been authorized to use. Any other access is unauthorized and may be unlawful.
3. Accounts and Credentials
- Your account is personal to you. Do not share your password or let anyone else use your account.
- Use a strong, unique password and keep it confidential.
- Notify Everon immediately at legal@everon.tech if you suspect your credentials have been compromised or your account has been used without authorization.
- Tell us when you change roles or leave your organization so your access can be removed. Everon may suspend or remove access at any time.
4. Confidential Information and Protected Data
Files exchanged through the Portal routinely contain confidential business information and personal information about employees, dependents, and plan members, including identifiers, dates of birth, Social Security numbers, and health-plan enrollment details, some of which may be protected health information under HIPAA. You agree to:
- Handle all files in accordance with the agreements between your organization and Everon (including any business associate or data-processing agreement) and applicable privacy and security laws;
- Download files only to systems approved by your organization for that class of data;
- Not retain, copy, or forward files beyond what your role requires; and
- Report any suspected loss, misdirection, or unauthorized disclosure of a file to Everon without delay.
5. Your Files
You are responsible for the files you upload, including their accuracy, their format, and your authority to transmit them. Do not upload files that contain malicious code, that you are not authorized to share, or that are unrelated to the approved business purpose. Everon may scan, quarantine, move, or delete files to operate the Portal, to comply with retention rules, or to protect its systems.
6. Monitoring and Audit
Everon logs sign-ins, file listings, uploads, downloads, renames, and deletions, together with the account and network address involved, and reviews these logs for security and compliance purposes. By using the Portal you consent to this monitoring.
7. Prohibited Conduct
- Attempting to access buckets, folders, accounts, or administrative functions you are not authorized to use;
- Probing, scanning, or testing the security of the Portal or circumventing any access control or rate limit;
- Using automated tools to bulk-download or scrape files except as agreed with Everon in writing;
- Introducing malware or otherwise interfering with the operation of the Portal; and
- Using the Portal for any unlawful purpose.
8. Availability
The Portal is provided "as is" and may be changed, interrupted, or withdrawn at any time without notice. It is a convenience for browsing the SFTP buckets and is not the system of record for any file. Retention and deletion of files are governed by the agreements between Everon and your organization.
9. Disclaimer and Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE PORTAL IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, AND EVERON WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF THE PORTAL. Nothing in these Terms limits the liability of either party under a separately signed agreement between Everon and your organization.
10. Termination
Everon may suspend or terminate your access at any time, with or without notice, including for any breach of these Terms, on request from your organization, or when your business need ends. Sections 4, 6, and 9 survive termination.
11. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except where a signed agreement between Everon and your organization provides otherwise, in which case that agreement controls.
12. Changes and Contact
We may update these Terms by posting a revised version with a new effective date. Continued use after a change constitutes acceptance. Questions about these Terms or the Portal may be sent to legal@everon.tech.
